الملخص

تتناول هذه الدراسة البنية القانونية والهيكلية للمجموعات التجارية الجزائرية، كاشفةً عن نمط معقد من التركيز الاقتصادي يتسم بتعددية قضائية وسيطرة مركزية. ورغم غياب تنظيم مدون في قانون التجارة، فإن المجموعات التجارية معترف بها بموجب التشريعات الضريبية، ولا سيما المادة 138 مكرر من قانون الضرائب المباشرة. وتبحث الدراسة الاستقلال القانوني للشركات والهيمنة الوظيفية للشركات الأم، محللةً أنماط السيطرة المختلفة، كالسيطرة القائمة على حقوق الملكية، والسيطرة الموجهة نحو الحوكمة، والسيطرة الهرمية، لفهم الديناميكيات التشغيلية وأوجه عدم التماثل التنظيمي. وتدعو الدراسة إلى إطار قانوني شامل يجسد الواقع الاقتصادي للحوكمة داخل المجموعة، ويعزز الشفافية والتماسك المؤسسي والمساءلة المؤسسية.
